General Terms and Conditions for Resellers
Standard Finance Sweden AB, hereinafter referred to as Miltech, and the Reseller
(defined below), these Reseller Terms and Conditions apply.
1. General
The Reseller is Miltech’s contracting party under this agreement, which, where applicable, refers to a sports club or other type of association. The contact person is the individual designated by the Reseller to serve as the liaison between the association and Miltech in accordance with Section 4, provided that this individual meets the requirements set forth in Section 5.
The Sales Group consists of members of the relevant sports club or association who participate in the sale of Miltech’s products. The delivery and distribution of Miltech’s products are intended to enable the Reseller, through the Sales Group, to generate revenue for a limited period of time by reselling the products to end customers. The revenue shall be used to finance a common purpose, such as activities, outings, or trips.
Earned funds may not be allocated to individual members of the Sales Group, but shall accrue to the group as a whole and be used in full to achieve the common goal. The Reseller is responsible for collecting orders from end customers with the assistance of the Sales Group. All orders are compiled by the Reseller, who then places the order and purchases the products from Miltech for the corresponding amount.
2. The legal status of the parties
The Reseller agrees to market and sell Miltech’s products. Resale shall take place through the Reseller’s own channels, such as the association’s website, mailings, and other marketing initiatives, with the support of the Sales Group’s members. The Reseller is not permitted to pay wages, commissions, or other compensation to members of the Sales Group or to third parties in connection with sales activities. All revenue shall go entirely to the nonprofit organization and be used to achieve the group’s common goals.
This agreement does not imply that Miltech is to be considered the employer of the Reseller, or that the Reseller is to be considered an employee of Miltech. The Reseller acts independently and in its own name. Nor shall the Reseller be considered a commission agent or commercial agent for Miltech. The parties agree that the Commercial Agency Act (1991:351) and the Commission Act (2009:865) shall not apply to this agreement.
3. Miltech’s Commitments
Miltech undertakes, during the term of this Agreement, to provide the Reseller with support and guidance as needed. Miltech shall also provide the information and materials necessary for the Reseller to market, sell, and distribute the products to end customers.
4. The Retailer’s Obligations
If the Reseller is an association, it is a prerequisite for the validity of this agreement, as well as for the right to distribute Miltech’s products, that the Reseller has designated a contact person. The contact person must meet the requirements set forth in this agreement. The Reseller undertakes to follow the guidelines, directions, and instructions provided by Miltech in connection with the marketing, ordering, and sale of the products. The Reseller shall conduct its sales in a responsible and professional manner, so that Miltech’s brand, products, and reputation are not damaged.
5. Contact person
The contact person must be of legal age and must not have any criminal record. As part of the approval process, an extract from the relevant registry may be requested before the agreement takes effect. The contact person is responsible for all communication with Miltech regarding matters covered by or related to this agreement.
By signing this agreement, the Contact Person certifies that he or she has been authorized by the association being represented to enter into this agreement on behalf of the association and to act in accordance with its terms. The Contact Person agrees to review, understand, and comply with all terms of this agreement, as well as the instructions and guidelines provided by Miltech.
Personal Data (GDPR)
Miltech processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable national legislation. Miltech is the data controller for the processing carried out under this agreement.
Personal data is processed for the purpose of administering and fulfilling the agreement, handling orders, deliveries, and payments, communicating with the Contact Person and the Reseller, as well as to comply with legal obligations and provide relevant information and offers related to the partnership. The personal data processed primarily includes name, personal identification number (if necessary), address, contact information, as well as payment and billing information and other data provided within the scope of the agreement. The processing is based on the performance of a contract, legal obligation, legitimate interest, and, where applicable, consent.
Personal data is stored for the duration of the agreement and thereafter for as long as necessary to fulfill the agreement or legal obligations; however, as a general rule, for no longer than one (1) year after the agreement ends, unless longer storage is required by law. Personal data may be shared with suppliers and partners, such as IT and payment providers, as well as with authorities when required by law. Such processing is carried out in accordance with the GDPR and, where applicable, through data processing agreements.
If personal data is transferred to a country outside the EU/EEA, an adequate level of protection is ensured through, for example, the European Commission’s Standard Contractual Clauses or equivalent safeguards. The contact person has the right to request information about which personal data is being processed, to request correction, erasure, or restriction of processing, to object to processing, and to request data portability. Consent may be withdrawn at any time. Requests should be directed to Miltech’s support department.
The contact person also has the right to file a complaint with the Data Protection Authority (IMY) if the processing is deemed to violate applicable legislation.
The contact person may not assign their rights or obligations under this agreement, or their role as contact person, without the written consent of both the Reseller and Miltech.
6. Ordering Miltech Products
Miltech provides a unique link to the Contact Person, which the Reseller must use in its marketing, for example via the association’s website or through other materials such as flyers and other marketing products provided by Miltech. Instructions on how to place orders are available on Miltech’s website. Orders are registered and processed on an ongoing basis via the digital system.
7. Delivery and Shipping
Miltech delivers electronic products automatically. For physical products, the goal is to deliver on the delivery date specifically notified to the Reseller or at another time agreed upon by the parties. If delivery cannot be made at the agreed-upon time, Miltech undertakes to inform the Reseller without delay of the new estimated delivery date.
The Reseller must provide in writing the address to which the delivery is to be made and is responsible for ensuring that the information provided is accurate. Any additional costs incurred as a result of incorrect delivery information or requests to change the delivery address may be charged to the Reseller.
8. Termination
Miltech reserves the right to terminate this agreement immediately if the Reseller fails to fulfill its obligations under the agreement and does not remedy the breach within five (5) business days of receiving a written notice from Miltech.
9. Compensation

10. The End Customer’s Right of Withdrawal and Right to File a Complaint
Miltech undertakes, through the Contact Person, to inform the Reseller of its obligations under applicable law, including the Act (2005:59) on Distance Contracts and Contracts Concluded Off Premises. By law, the end customer may have the right to cancel their purchase within 14 days of receiving the goods or services. The right of cancellation must be exercised with the Reseller, who is responsible for informing the end customer of their rights and how these are to be applied in accordance with applicable law.
11. Miscellaneous
Any amendments and/or additions to this agreement must, to be binding, be in writing and signed by both parties. The Reseller may not assign or transfer its rights or obligations under this agreement without Miltech’s written consent.

Administrator/Contact Person – Responsibilities toward Miltech
The administrator (hereinafter referred to as the “Contact Person”) is appointed by the Reseller and shall serve as the primary point of contact for Miltech under this agreement.
The contact person is responsible for:

maintain ongoing communication with Miltech regarding all matters pertaining to the agreement,

receive, relay, and implement information, instructions, and guidelines from Miltech,
-
ensure that the Reseller and the Sales Team comply with the terms of the agreement, applicable laws, and Miltech’s current instructions,
-
manage orders, deliveries, and other practical aspects related to the collaboration,
-
compile and verify the accuracy of information provided to Miltech, including order and contact details,
-
ensure that accurate and up-to-date information is communicated to end customers in accordance with applicable law,
-
ensure that marketing and sales activities are conducted in a manner that does not harm Miltech’s brand or reputation.
The Contact Person is authorized to issue binding instructions and provide information to Miltech on behalf of the Reseller within the scope of this Agreement. The Contact Person shall act with due care and in accordance with good business practices. Any failure by the Contact Person to fulfill their obligations shall be deemed a breach of the Reseller’s performance of the Agreement.
The contact person may not transfer their role or responsibilities without Miltech’s written approval.
Presentation and marketing materials
Miltech provides presentation and marketing materials to associations to facilitate and support the sale of Miltech’s products. These materials may include digital and printed resources such as product sheets, images, text, promotional materials, presentation templates, and other sales support materials.
The association has the right to use the material in its marketing and sales activities, such as on its website, social media, in mailings, or in printed materials, provided that this is done in accordance with Miltech’s guidelines and brand policy. The material may not be altered or used in a manner that could harm Miltech’s brand or reputation without written approval. Miltech may periodically update and provide new material. The association is responsible for using current and approved material in its communication with end customers and for ensuring that the information is presented accurately and clearly.
